Terms of service

ChargeBasis reads freight quotations and invoices that you supply, normalises the charges on them against a freight-specific dictionary, and applies deterministic rules to report which parts of the difference between the two your documents explain, and which parts nothing on file explains yet.

The output is a description of documents. It is a starting point for a conversation with your provider, and it is only ever as good as the documents you give it.

It is not legal advice and we are not a law firm. Findings describe what the supplied documents do and do not support. They are not an opinion on your rights, your contract, or the merits of any claim. Where a rule refers to a regulation, that is a citation, not advice on how it applies to you.

It is not a guarantee that any amount is recoverable. The service deliberately reports two separate figures: the gross difference between quotation and invoice, and the smaller portion that no document currently explains. Neither is money you are owed, and we never present either as such. Whether you recover anything depends on your contract with your provider and on their response.

It is not an accounting, audit, or customs brokerage service, and it does not file anything with any authority on your behalf.

You must have the authority to upload every document you provide. Freight paperwork routinely names third parties — shippers, consignees, carriers and brokers — and by uploading it you confirm you are entitled to have it processed for this purpose. Confirming that authority is a required step and we rely on it.

You keep ownership of your documents. We process them to produce your analysis and to operate the service. We do not sell them, and we do not use them to train models.

Where you explicitly opt in, anonymised charge amounts may contribute to benchmark statistics. Those records carry no organization, no provider, no document reference and no free text, and nothing is ever reported from a sample too small to be meaningful. This is off unless you turn it on.

How long anything is kept, and what is stored at all, is set out in the privacy notice.

The service can draft correspondence from findings. It does not send anything. Every draft requires your approval and is then copied, downloaded or opened in your own email client, so that any message to your provider comes from you.

You are responsible for what you send and for how you conduct that conversation. Drafts avoid accusatory language by design, and we ask that you keep it that way.

You are responsible for keeping your credentials secure and for activity under your account. Tell us promptly at support@chargebasis.com if you believe someone else has access.

One account belongs to one organization. Documents and findings are scoped to that organization and are not visible to any other.

Quotation checks are free and unlimited. The free plan also includes one full invoice check each calendar month. The paid plan is $99/month, billed monthly in advance, and includes unlimited invoice checks.

There is no success fee and no commission. Nothing you pay depends on what you recover. Payment is handled by our payment provider; we never see or store your card details.

You may cancel at any time and keep access to the end of the period you have paid for. We do not refund part-months. If a payment fails we may suspend paid features until it is settled.

We may change pricing with at least 30 days' notice by email. A change never applies to a period you have already paid for.

Do not upload documents you are not entitled to, attempt to access another organization's data, probe or disrupt the service, or use it to build a competing charge dictionary or rule set. Automated bulk access is not permitted without our written agreement.

The service is provided as it is. We work to keep it accurate and available, and we do not promise either without interruption.

Document extraction has limits and the service states them rather than hiding them: a document with no readable text layer is reported as unreadable rather than guessed at, a charge description the dictionary does not recognise is marked as such, and a value the documents do not state is shown as missing and never inferred. You should check findings against your own documents before acting on them.

To the extent the law allows, we are not liable for indirect or consequential loss, for lost profit, or for any commercial outcome of a conversation with your provider. Our total liability in any twelve-month period is limited to the amount you paid us in that period.

Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

You may stop using the service and delete your organization's data at any time from your settings. Deletion removes your documents and findings; audit records of security-relevant actions are retained as described in the privacy notice.

We may suspend or end access for breach of these terms, and will tell you why unless we are prevented from doing so.

We may update these terms. Material changes will be notified by email at least 30 days before they take effect, and the date at the top of this page always reflects the current version.

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, and the courts there have exclusive jurisdiction.
